1. Definitions

The following definitions apply throughout these Terms and Conditions:

"Agreement" — these Terms and Conditions, together with any engagement letter or service proposal accepted by the Client
"Pravik" / "We" / "Us" — Pravik, a legal services firm registered and operating in Bangkok, Thailand
"Client" / "You" — any individual, company, or organization that accesses the website or engages Pravik's services
"Services" — professional legal advisory services provided by Pravik, including intellectual property registration, employment law advisory, and dispute resolution support
"Website" — the Pravik website accessible at https://praviksg.pro
"Content" — all text, documents, graphics, and information published on the Website
"Engagement" — a formal professional relationship established between Pravik and a Client for the provision of specific Services

2. Acceptance of Terms

By accessing the Website or submitting an enquiry or engaging our Services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions.

If you are acting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to this Agreement.

Use of the Website and our Services is restricted to individuals aged 18 years and above, or those who have reached the age of majority in their jurisdiction. We do not knowingly provide services to minors.

3. Service Description

Pravik provides professional legal services in the following areas:

Intellectual Property Registration — assistance with trademark, patent, and copyright registration under Thai law, including filings with the Department of Intellectual Property
Employment Law Advisory — guidance on Thai labor law compliance, employment contracts, workplace policies, termination procedures, and related matters
Dispute Resolution & Mediation Support — advisory and representational support through negotiation, mediation, and arbitration processes

Services are available to clients located within Thailand and, where applicable, to international clients with Thai law-related matters. Geographic or jurisdictional restrictions may apply in certain circumstances, which will be communicated at the time of enquiry.

4. Engagement Process

Submitting an enquiry through our Website does not constitute the commencement of a formal legal engagement or the formation of a client-firm relationship. A formal engagement begins only upon:

Written confirmation from Pravik of the scope and terms of the engagement
Acceptance by the Client of the engagement letter or service proposal
Receipt of any agreed upfront fees or retainer amounts

Until these conditions are met, communications between you and Pravik are preliminary in nature and do not constitute legal advice.

5. User Responsibilities

When using the Website or engaging our Services, you agree to:

Provide accurate, current, and complete information when requested
Notify us promptly of any changes to information provided
Refrain from using the Website for any unlawful or unauthorized purpose
Not transmit any harmful, offensive, or disruptive content through the Website
Not attempt to interfere with the operation or security of the Website
Cooperate with Pravik in a timely and constructive manner during an engagement
Provide all documentation and information reasonably required for the provision of Services

Failure to meet these responsibilities may affect the quality or continuity of Services we are able to provide.

6. Intellectual Property

All content published on the Pravik Website, including text, graphics, logos, and design elements, is owned by or licensed to Pravik and is protected by applicable intellectual property law. You may not reproduce, distribute, or adapt this content without prior written consent.

Work product produced by Pravik during a client engagement — including written opinions, template documentation, and guidance memoranda — is delivered to the Client upon full payment of applicable fees. The Client receives a non-exclusive right to use such materials for the purposes for which they were created. Pravik retains the right to use general knowledge and skills acquired during the engagement for future work.

7. Fees and Payment

Service fees are stated in Thai Baht (฿) and are as agreed in the relevant engagement letter or service proposal. Current indicative pricing for our services is as follows:

Intellectual Property Registration — from ฿20,000
Employment Law Advisory — from ฿18,000
Dispute Resolution & Mediation Support — from ฿40,000

Fees may vary depending on the scope, complexity, and duration of the engagement. All fees are subject to applicable Thai taxes where required by law.

Payment terms, including schedule and method, will be specified in the engagement letter. Pravik reserves the right to pause or discontinue Services where fees remain outstanding beyond the agreed payment date.

Refunds, where applicable, are addressed on a case-by-case basis and at Pravik's reasonable discretion, taking into account work completed and costs incurred at the time of any cancellation.

8. Confidentiality

Pravik is bound by professional obligations of confidentiality with respect to all client information and matters. We will not disclose confidential information provided during an engagement to third parties without your prior consent, except where required by law, court order, or applicable regulatory obligation.

This confidentiality obligation survives the termination of any engagement.

9. Disclaimers

Information published on the Pravik Website is provided for general informational purposes only and does not constitute legal advice. Website content should not be relied upon as a substitute for professional advice tailored to your specific circumstances.

While we take reasonable care in ensuring the accuracy of information on the Website, we do not warrant that all content is free from error, complete, or current. Legal and regulatory requirements change, and we encourage users to seek current, specific advice for their situation.

10. Limitation of Liability

To the fullest extent permitted by Thai law, Pravik's aggregate liability to any Client for any claim arising from or related to the Services shall not exceed the total fees paid by that Client for the specific engagement to which the claim relates.

Pravik is not liable for indirect, consequential, or incidental loss, including loss of profits, loss of business opportunity, or reputational damage, howsoever arising.

Nothing in these Terms limits liability for fraud, gross negligence, or wilful misconduct.

11. Indemnification

You agree to indemnify and hold harmless Pravik, its personnel, and its professional advisors from and against any claims, losses, or expenses (including reasonable legal costs) arising from your breach of these Terms, your misuse of the Website, or any inaccurate or misleading information you provide to us in connection with an engagement.

12. Termination

Either party may terminate an engagement by providing written notice to the other party. Termination does not affect obligations that have already arisen, including payment for work completed prior to termination.

Pravik reserves the right to withdraw from an engagement in circumstances including, but not limited to, a conflict of interest arising, non-payment of fees, or circumstances that would compromise our professional obligations.

Upon termination, each party shall return or securely destroy confidential materials belonging to the other, subject to applicable record-keeping obligations.

13. Dispute Resolution

In the event of a dispute arising from these Terms or any engagement, the parties agree to first attempt resolution through good-faith discussion. Where direct discussion does not resolve the matter within 30 days, the parties may agree to refer the dispute to mediation before pursuing formal legal proceedings.

Any disputes not resolved through negotiation or mediation shall be subject to the jurisdiction of the competent courts of Bangkok, Thailand, in accordance with Section 14 below.

14. Governing Law and Jurisdiction

These Terms and Conditions, and any engagement governed by them, are subject to the laws of the Kingdom of Thailand. Any legal proceedings arising from or related to these Terms shall be brought before the courts of Bangkok, Thailand, and both parties submit to the exclusive jurisdiction of those courts.

15. General Provisions

Entire Agreement

These Terms, together with any applicable engagement letter, constitute the entire agreement between the parties with respect to the subject matter and supersede all prior communications or representations.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Waiver

Failure by either party to enforce any provision of these Terms shall not constitute a waiver of the right to enforce that provision in the future.

Assignment

You may not assign or transfer any rights or obligations under these Terms without Pravik's prior written consent. Pravik may assign its rights in connection with a reorganization or transfer of its practice, subject to appropriate notification.

Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of the Website or engagement of Services following any such change constitutes your acceptance of the revised Terms.
